TERMS OF USE 1. ACCEPTANCE OF TERMS; GENERAL Participants in this Program and users of this site agree to be bound by the following terms and conditions. Your participation in the Program and/or access to this site constitutes assent to the terms and conditions set forth in these Terms of Use. Violations of these rules may result in temporary or permanent revocation of participation privileges and or access to this site. Network for Good reserves the right to change these Terms of Use at any time. Your continued participation in the Program and your use of this site after such changes have been posted constitutes acceptance of the new terms. You also understand and agree that Network for Good may discontinue or change this site at any time, without notice. You also understand and agree that Network for Good may discontinue or restrict your use of this site for any reason without notice. 2. PRIVACY POLICY Network for Good shall have the right to use or disclose, with or without attribution, for any purpose any information posted on its site. This includes charity badges that can be displayed anywhere online by individuals, organizations or via RSS feeds. For purposes of privacy and protection, however, no personal information other than what is inherently part of the Charity Badge (i.e. like email address etc.) shall be posted or quoted outside the Network for Good site by Network for Good, or used with attribution to that person or his or her organization by Network for Good without the individual�s specific consent to do so. 3. RIGHTS IN CONTENT We invite you to post comments, ideas, or information with respect to the Program (collectively, "Submissions") on the Network for Good site, subject to your agreement to comply with these Terms of Use. By posting or otherwise transmitting any Submission to the Network for Good site, you grant Network for Good and its designees a worldwide, non-exclusive, sublicenseable, assignable, royalty-free, perpetual, irrevocable right and license to use, reproduce, distribute, adapt, publish, create derivative works based on, perform, and display such Submissions (in whole or in part) world-wide and to incorporate it in any works, in any form, media, or technology now known or later developed, without compensation to you or any third party or any obligation to provide attribution to you or any third party. When posting a Submission that includes any material from another source, you must obtain all necessary permissions from the author or publisher of the material in advance of the posting and include all required copyright notices as well as clear and conspicuous attribution to such third party source. By posting a Submission, you represent and warrant that you have the right to post such Submission and to grant to Network for Good the rights set forth herein with respect to such Submission. 4. INTELLECTUAL PROPERTY RIGHTS The content on the Network for Good site, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Network for Good, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Content on the Network for Good site is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. PARTICIPANT CODE OF CONDUCT All participants must abide by the Code of Conduct set forth below. Network for Good has adopted this Code of Conduct to ensure that Submissions and information regarding the Program can be shared in a productive and enjoyable manner for everyone involved. If you believe that a participant has violated the Code of Conduct, it is your right and responsibility to report the violation via e-mail to customerservice@networkforgood.org. a. All postings and Submissions are made on a voluntary basis, for personal use only. Postings or Submissions of marketing, commercial, defamatory, abusive, profane, racist, hateful, threatening, offensive, obscene, or illegal materials are prohibited. b. Messages posted on the Network for Good site should be relevant to, and intended for, the entire group. Messages which are intended for specific individuals or messages that are personal or commercial in nature or are unrelated to the group's primary purpose are not permitted. c. Participants agree to respect other participants and will not threaten, abuse, intimidate, or harass other participants. d. Participants agree not to infringe or misappropriate any third-party's intellectual property or other rights when posting content or in any Submission. e. Participants agree not to upload, post, submit, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. f. Participants agree not to use the Network for Good site for any unlawful purpose, or transmit or otherwise make available in connection with the Network for Good site any material that would give rise to criminal or civil liability. g. Participants agree not to impersonate any person or entity, or falsely state or otherwise misrepresent information about, or participant's affiliation with, any person or entity, including Network for Good. h. All participants must be human. Badges registered by "bots" or other automated methods are not permitted. i. Participants agree not to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. Failure to comply with any of the policies listed in the Code of Conduct may, in Network's for Good's sole discretion, result in immediate termination of a Participant's privileges and or access to this site. 6. DUTY TO MONITOR The responsibility for posted content and Submissions lies entirely with the person submitting such posting and/or Submission. Network for Good takes no responsibility for inappropriate postings or Submissions, or any inaccurate information contained therein. Network for Good is not required to pre-screen postings or Submissions, and reserves the right, in its sole discretion, to edit, refuse or remove a post or Submission or any material, and/or to restrict or exclude any individual from further use of the Network for Good site. 7. INDEMNIFICATION You agree to indemnify and hold Network for Good harmless from any claims, damages, losses, or costs (including reasonable attorneys' fees) that arise out of or relate to any of your postings, Submissions or any information or material contained therein, including, without limitation, any claims that Network for Good�s use of such information or material infringes or misappropriates any intellectual property right or other right of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defense. 8. DISCLAIMERS OF WARRANTIES: NETWORK FOR GOOD PROVIDES THIE SITE "AS IS", " WITH ALL FAULTS" AND "AS AVAILABLE." NETWORK FOR GOOD DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. NETWORK FOR GOOD LIKEWISE DISCLAIMS ANY AND ALL LIABILITY TO YOU ARISING OUT OF INTERRUPTION OR DAMAGE TO YOUR COMPUTER SYSTEM OR SOFTWARE AS THE RESULT OF ACCESSING OR OTHERWISE USING THIS SITE. NETWORK FOR GOOD DOES NOT GUARANTEE THAT THIS SITE WILL MEET YOUR REQUIREMENTS, IS ERROR-FREE, RELIABLE, WITHOUT INTERRUPTION OR AVAILABLE AT ALL TIMES. CHOICE OF LAW AND LOCATION FOR RESOLVING DISPUTES These Terms of Use shall be governed by the laws of the State of Maryland, without regard to its conflicts of laws principles and any dispute arising from or relating to this site shall be brought before a state or federal court located in the State of Maryland All parties participating in this site consents to the exercise of personal jurisdiction by such forum with respect to all matters relating to this site and the content posted hereon. 11. SEVERABILITY AND INTEGRATION This agreement constitutes the entire agreement between you and Network for Good. TERMINATION Network for Good reserves the right, in its sole discretion, to terminate your access to all or part of this site, for any reason, with or without notice, including if Network for Good believes you have violated or acted inconsistently with the spirit of these Terms of Use.
